1. Acceptance of Terms
By accessing or using CoinRiskManager ("CoinRiskManager", "Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"), the Privacy Policy, and the Cookie Policy.
If you do not agree, you must not use the Service.
You represent that:
- You are at least 18 years old
- You are legally capable of entering into a binding agreement
- You are not located in, or a resident of, any jurisdiction where use of the Service is prohibited by law or sanctions
2. Description of Service
CoinRiskManager is a software-as-a-service (SaaS) platform providing risk monitoring, analytics, and alerting tools for cryptocurrency trading accounts.
CoinRiskManager:
- Does not execute trades
- Does not withdraw or move funds
- Does not hold custody of assets
- Is not an exchange, broker, or financial advisor
- Relies on third-party exchange APIs, which may contain errors, delays, or inaccuracies
3. No Financial Advice
All information provided by CoinRiskManager is for informational and analytical purposes only.
Nothing provided by the Service constitutes:
- Financial advice
- Investment advice
- Trading advice
- Legal or tax advice
You are solely responsible for all trading and investment decisions.
4. User Responsibilities
You are solely responsible for:
- Maintaining account security
- Configuring notification preferences
- Providing accurate information
- Ensuring exchange API keys are configured with read-only permissions
If you provide API keys with permissions beyond read-only, CoinRiskManager bears no responsibility for any resulting loss, breach, or unauthorized activity.
5. Risk Disclosure & API Data Limitations
Cryptocurrency trading involves substantial risk, including the risk of total loss.
Exchange API Data: The Service relies on data from cryptocurrency exchange APIs. This data may be delayed, inaccurate, incomplete, or unavailable due to:
- Exchange outages, rate limiting, or maintenance
- "API drift" (changes in exchange API behavior without notice)
- Incorrect mark prices, position data, or balance information from exchanges
- Network latency, packet loss, or connectivity issues
CoinRiskManager is not responsible for:
- Trading losses or liquidation events
- Missed, delayed, duplicated, or failed alerts
- Inaccurate data provided by exchange APIs
- Actions taken based on incorrect or outdated data
- Third-party service interruptions (exchanges, telecommunications, cloud providers)
6. Alerts & Notification Disclaimer
CoinRiskManager is an alerting and monitoring platform. Notifications are delivered on a best-effort basis.
You acknowledge and agree that:
- Alerts may be delayed, duplicated, or not delivered
- Delivery depends on third-party providers, network conditions, and user settings
- CoinRiskManager does not guarantee alert receipt, timing, or accuracy
You remain solely responsible for monitoring your accounts and taking action.
7. User Control of Alerts & Alert Volume Responsibility
The Service provides tools to manage alert volume and severity, including:
- Channel selection (email, Telegram, Discord, phone)
- Alert priority levels (Critical, High, Medium, Low, OFF)
- Acknowledgment, snooze, and mute functions
- Do-Not-Disturb periods
You are solely responsible for:
- Configuring alert frequency, channels, and severity thresholds
- Managing and responding to alerts in a timely manner
- Consequences of muted, ignored, snoozed, or disabled alerts
- Understanding that muting or disabling alerts increases your risk exposure
- Monitoring your trading accounts independently of our alerts
CoinRiskManager is not liable for trading losses, liquidations, or any damages resulting from:
- User-configured alert settings (mute, snooze, DND, priority levels)
- User failure to respond to delivered alerts
- User disabling or ignoring notification channels
8. Subscriptions, Billing & Refunds
Subscription Terms:
- Trial periods and subscription plans are displayed on the platform
- Subscriptions auto-renew at the end of each billing period unless canceled
- You will receive payment reminders and trial expiration notices via email or messaging platforms
- Subscription fees are billed in advance for each billing cycle
Cancellation & Refunds:
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period
- No refunds or credits for partial months/periods of service
- Fees paid are non-refundable except as required by law
- Upon cancellation, you retain access until the end of your paid period
Free Trial:
- Free trials do not require payment information
- At trial end, you must subscribe to continue using the Service
- Trial users receive full feature access during the trial period
9. Communications Consent (Phone, SMS, Email)
By providing your phone number and enabling phone or SMS alerts, you expressly consent to receive:
- Automated/autodialed calls and SMS/text messages from CoinRiskManager
- Transactional alerts related to risk thresholds, account activity, and system notifications
- Service-related messages including trial reminders, billing notifications, and security alerts
Important Details:
- Message frequency varies based on your risk rules and trading activity
- Message and data rates may apply from your carrier
- Consent is not required as a condition of purchase
- To stop SMS: Reply STOP to any message or disable SMS in your account settings
- To stop phone calls: Disable phone alerts in your account settings
- Carriers are not liable for delayed or undelivered messages
Transactional vs. Marketing: All phone/SMS alerts are transactional (risk alerts, security, billing). Marketing communications (newsletters, promotions) are sent via email only and include an unsubscribe link.
10. Sanctions, Prohibited Jurisdictions & Export Controls
You represent and warrant that:
- You are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions
- You are not identified on any U.S. government restricted party list (OFAC SDN, BIS Entity List, etc.)
- You will comply with all applicable export controls, sanctions, and trade regulations
- You will not use the Service to facilitate transactions involving prohibited jurisdictions or parties
We reserve the right to:
- Suspend or terminate accounts as required for sanctions/compliance
- Request verification of identity, location, or citizenship
- Block access from certain IP addresses or jurisdictions
11. Security & Data Breach Disclaimer
We implement industry-standard security measures to protect your data, including:
- Encryption of API keys and sensitive data at rest
- Secure transmission protocols (HTTPS/TLS)
- Access controls and authentication mechanisms
- Regular security audits and monitoring
However, you acknowledge that:
- No system is 100% secure
- Unauthorized access, data breaches, or security incidents may occur despite our safeguards
- We will take reasonable measures to detect, contain, and remediate security incidents
- We will notify affected users of material breaches as required by law
To the maximum extent permitted by law, we disclaim liability for losses resulting from unauthorized access, except where prohibited by applicable data protection laws.
12. Service Availability, Maintenance & Force Majeure
Service Availability: We strive for high availability but do not guarantee uninterrupted access.
- Scheduled maintenance windows may occur with or without advance notice
- Emergency maintenance may be performed without prior notification
- Service outages may occur due to infrastructure, network, or third-party provider issues
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including:
- Cloud provider outages (AWS, MongoDB Atlas, Redis)
- Exchange API outages, rate limits, or downtime
- Telecommunications or internet service provider failures
- Natural disasters, pandemics, acts of war, or government actions
- Cyberattacks, DDoS attacks, or other malicious activities
13. Anti-Spam & Abuse Policy
To maintain service quality and control costs, we reserve the right to:
- Throttle or rate-limit notifications if excessive volume is detected
- Enforce per-day/per-hour limits on SMS and phone call alerts
- Temporarily disable notification channels in cases of abuse or system overload
- Charge additional fees for usage significantly exceeding plan limits
- Suspend accounts engaging in abusive or fraudulent behavior
Examples of abuse include:
- Configuring rules to generate excessive alerts intentionally
- Using the Service to spam or harass recipients
- Attempting to circumvent rate limits or usage restrictions
14. Acceptable Use
You may not:
- Abuse, disrupt, or interfere with the Service
- Attempt to bypass security controls, rate limits, or authentication mechanisms
- Use the Service for unlawful purposes or in violation of sanctions
- Reverse engineer, decompile, or attempt to extract source code
- Resell, redistribute, or provide access to the Service to third parties
15. Limitation of Liability
To the maximum extent permitted by law, CoinRiskManager's total liability for any claims arising from or related to the Service shall not exceed the amount paid by you in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
We are not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Trading losses, liquidations, or missed profit opportunities
- Damages resulting from reliance on alerts, data, or platform availability
16. Indemnification
You agree to indemnify, defend, and hold harmless CoinRiskManager, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Violation of these Terms
- Misuse or compromise of exchange API keys
- Violation of any applicable laws or regulations
- Infringement of third-party rights
17. Termination & Suspension
By You: You may cancel your account at any time through account settings.
By Us: We may suspend or terminate your access immediately, with or without notice, if:
- You violate these Terms
- Your account is subject to sanctions or legal restrictions
- We detect fraudulent, abusive, or illegal activity
- Required to comply with law enforcement or legal obligations
- Platform integrity or other users are at risk
Upon termination, all licenses and rights granted to you immediately cease. Provisions surviving termination include: liability limitations, indemnification, governing law, and dispute resolution.
18. Dispute Resolution & Arbitration
Informal Resolution: Before filing any claim, you agree to contact us at travy@rektlabs.ai to attempt informal resolution.
Binding Arbitration: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except as modified by these Terms.
- Arbitration location: Delaware, USA (or virtually by mutual agreement)
- Arbitrator's decision is final and binding
- You waive the right to a jury trial
Class Action Waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.
Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
19. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
20. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via:
- Email notification to your registered email address
- In-platform notification banner
- Updated "Last Modified" date at the top of this page
Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to modified Terms, you must stop using the Service.
21. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and CoinRiskManager regarding the Service.
